目前 ,为明确国有企业的产权 ,激发职工的积极性 ,许多企业进行体制改革 ,将部分产权让职工认购 ,使职工真正成为企业的“主人” ,但有的企业领导并没有随着改制而转变观念 ,采用“新公司老做法”将职工内部股权看作是“奖券” ,随意分配和收回 ,这与法制社会是不相符的。本文通过分析一个真实的案例 ,提出了“股权”的所有者既享有权利又要承担义务。股权与“奖券”有本质的不同 ;同时 ,公司股权不仅包括对分红享有利益还包括对公司的参与管理权
At present, in order to clarify the property rights of state-owned enterprises and arouse the enthusiasm of the staff and workers, many enterprises reform their systems and make part of the property rights available to employees for subscription so that the employees truly become the masters of the enterprises. However, some enterprise leaders do not change their concepts with the restructuring , Using the “new company’s old practices” to view the internal stockholder’s equity as a “lottery ticket” and distributing and withdrawing it at will, which is not in conformity with the legal system society. By analyzing a real case, this paper argues that the owner of “equity” has both the right and the obligation. Equity and “lotteries” are essentially different; at the same time, the company equity not only includes the benefits of dividends but also the right to participate in the management of the company
