一、协议收购。《关于向外商转让上市公司国有股和法人股有关问题的通知》出台,使此方式适用范围最广泛。 案例:1995年7月5日,北旅股份与日本五十铃自动车株式会社、日本伊藤忠商事株式会社签订合作经营协议,五十铃和伊藤忠联合以协议方式,一资性购买北旅股份不上市流通的非国有法人股4002万股,占公司总股本的25％。 二、向外资定向增发B股。由于目前发行B股的公司不多,所以适用范围有限。
