ICSID仲裁实践已经认定投资定义条款中“符合东道国法律”的要求构成仲裁管辖权的要件之一,但违反该要求的具体认定标准远未形成一致,从而导致个案的结果具有极大的不确定性。学术界对此问题亦存在根本分歧。分歧的原因在于对投资定义条款中“符合东道国法律”要求的真实含义缺乏准确的理解。该要求不仅构成确立仲裁管辖权的要件,而且是对投资存在的合法性的要求。在ICSID仲裁实践尚不明朗的情况下,中国应对该条款进行修改以避免不确定性。
