《合伙企业法》修订之前,一些地方法规对于有限合伙这一组织形式进行了有益的探索。为促进我国风险投资行业的发展,适应经济发展的要求,新修订的《合伙企业法》增设了有限合伙制度,并对有限合伙企业合伙人的权利与义务、有限合伙的管理以及有限合伙的特殊制度,作了具体规定。本文作者在分析有限合伙有限责任含义的基础之上,对于有限合伙立法的不足与完善提出了自己粗浅认识。
Prior to the amendment of the Partnership Enterprise Law, some local laws and regulations made a useful exploration into the form of limited partnership. In order to promote the development of China’s venture capital industry and adapt to the requirements of economic development, the newly revised “Partnership Enterprise Law” has added a limited partnership system. It also regulates the rights and obligations of partners of limited partnerships, the management of limited partnerships and the special features of limited partnerships System, made a specific provision. Based on the analysis of the meaning of the limited liability of the limited partnership, the author of this article put forward his own superficial understanding of the insufficiency and perfection of the limited partnership legislation.
