新交所2014年9月17日发布《对拟成立独立上市委员会的公众咨询意见书》。根据新交所上市委员会制度改革计划,新交所新的上市委员会机制由五个部门组成,即新交所上市部、上市咨询委员会、上市纪律委员会、上市上诉委员会以及管理冲突委员会。上市部仍然承担了重要的初审职能;上市咨询委员会只承担一部分上市审核权与监管权,肩负着审核与咨询的双重使命,并以咨询职能为主;上市纪律委员会享有法律赋予新交所的全部监管处罚权,履行上市委员会制度的处罚职能;上市上诉委员会为上市业务当事人提供救济渠道,在整个独立上市委员会机制中处于最高级别同时被授予最广泛的权力;管理冲突委员会则掌握上市审核最终决定权。三个委员会看似独立,实则相互依存和相互补充,并与管理冲突委员会和上市部组成了一个分工明确、权责分明的审核监管机制。
SGX issued the Public Consultation Opinion on Establishing an Independent Listing Committee on September 17, 2014. According to the system reform plan of the SGX Listing Committee, the SGX’s new listing committee mechanism consists of five departments: the SGX Listing Department, the Listing Advisory Committee, the Listing Disciplinary Committee, the Listing Appeals Committee and the Management Conflict Committee. The Listing Department still undertakes important first instance functions; the Listing Advisory Committee only undertakes part of the audit and supervisory powers of going public, shoulders the dual mission of reviewing and consulting with the advisory function as the mainstay; the Listing Disciplinary Committee enjoys all the laws that empower the SGX The right to supervise and punish, and perform the punishment function of the listing committee system; the Listing Appeals Committee provides remedies to the parties involved in the listing business, is at the highest level in the entire independent listing committee mechanism and is granted the most extensive powers at the same time; and the management conflict committee grasps the final decision on listing audit right. Seemingly independent of the three committees, but in fact, interdependence and complementarity, and the conflict management committee and the listing department to form a clear division of responsibilities, rights and responsibilities of the audit supervision mechanism.
