随着学术界对“揭开公司面纱”理论研究的逐步层次化和系统化,传统意义上的公司人格理论也亦有所发展,但若对相关理论制度的认识有所偏差,即会直接导致适用上的南辕北辙,不利于学术研究的开展与实务上的现代企业的应用。故本文从公司人格否认制度的意义入手,浅析公司人格否认的构成要件,旨在加强该制度在实践中的应用,并就逆向公司人格否认制度做理论上的研究。
With the gradual stratification and systematization of the theoretical research on “uncovering corporate veil” in academia, the traditional theory of corporate personality has also been developed. However, if there is a deviation in the understanding of the relevant theoretical system, A direct result of the application of the opposite direction, is not conducive to the development of academic research and practical application of modern enterprises. Therefore, starting from the significance of the system of denying the personality of the company, this paper analyzes the elements of the denial of the personality of the company, aiming at strengthening the application of the system in practice and making a theoretical study on the system of denying the personality of the reverse company.
