引入独立董事制度是为了改善目前我国上市公司的法人治理结构,制约内部控股股东利用其控制地位做出不利于公司和外部股东的行为,以保护广大中小股东的利益。但由于《公司法》没有明确规定上市公司必须建立独立董事制度,更没有相关的详细规定,导致了实际操作的困难。从实践的结果看,独立董事的独立性无法保证;独立董事和监事会在监督权力上重叠与交叉造成的权力冲突,导致资源浪费或互相推诿,增加监督成本,降低公司运作效率,影响公司治理的质量。当独立董事制度在我国还没有很好的成长环境时,对严重的内部人控制现象的频频发生,我们应当在现有的法律框架下寻找法律救济。
The introduction of independent director system is to improve the corporate governance structure of the listed companies in our country and to restrict the internal controlling shareholders from using their control status to make behavior unfavorable to the company and external shareholders in order to protect the interests of the majority of minority shareholders. However, the “Company Law” does not clearly stipulate that a listed company must establish an independent director system, and there is no relevant detailed regulation, which has caused difficulties in practical operation. From the result of practice, the independence of independent directors can not be guaranteed; the conflict of power between independent directors and board of supervisors over supervising powers overlaps and crosses, leading to waste of resources or pushing each other, increasing the cost of supervision, reducing the operating efficiency of the company and affecting the corporate governance quality. When the system of independent directors does not have a good environment for growth in our country, the phenomenon of serious internal control is frequent. We should seek legal remedies under the existing legal framework.
