企业并购是市场经济条件下企业进行经济社会资源重组的重要手段之一,而跨国并购已成为中国企业成长为全球性跨国公司的一种战略方式。本文提出了企业跨国并购中文化整合的四种典型模式,并对不同的模式进行了比较研究。然后结合苏宁电器并购日本LAOX公司的实际案例,说明具体并购过程中文化整合工作的实现过程及应采取的策略,对中国企业在未来跨国并购中的文化整合问题提供理论思考与经验借鉴。
Merger and acquisition (M & A) is one of the most important ways for enterprises to reorganize their economic and social resources in a market economy. Cross-border M & As have become a strategic way for Chinese enterprises to grow into global transnational corporations. This paper presents four typical patterns of cultural integration in cross-border M & A and compares the different patterns. Then, with the actual case of Suning Appliance’s acquisition of LAOX in Japan, it illustrates the process of cultural integration in specific M & A process and the strategies to be taken to provide theoretical thinking and experience for Chinese enterprises to integrate culture in cross-border mergers and acquisitions in the future.
