随着股权分置改革的推进和《上市公司股权激励管理办法》(试行)的颁布,更多的上市公司在完成股权分置改革后陆续实施股权激励计划。经营者股权激励是公司长期激励机制的一种方式,这样做款风衣降低经营者代理成本,同时有效提升经营效率,实现企业增值。本文针对上市企业经营者股权激励效应与市场环境及公司机制的密切关系,对股权激励作用进行分析,同时探讨了影响股权激励绩效考核的各种因素。
With the reform of split share structure and the promulgation of the Measures for the Management of Equity Incentives for Listed Companies (Trial Implementation), more listed companies successively implemented the equity incentive plan after completing the share-trading reform. Managers equity incentive is a long-term incentive mechanism for the company a way to do so windbreaker operators to reduce agency costs, while effectively enhancing operational efficiency and achieve enterprise value. In this paper, according to the close relationship between listed company managers’ equity incentive effect and market environment and corporate mechanism, this paper analyzes the role of equity incentive and discusses various factors that affect the performance appraisal of equity incentive.
