股东权益的保护是公司治理的核心问题,而对小股东权益的保护有利于实现股东平等,提高公司的效率。自2006年1月1日起,我国开始实施新《公司法》,不仅增加了小股东的各项权利,还规定了小股东寻求救济的途径。但是,在具体实践中,这些规定仍显得十分不足。2009年《中小股东权益保障评价报告》中显示,小股东在知情权、管理参与权、收益权等权利的行使上存在严重障碍,资本多数决滥用、股利分配不均等现象大量存在。为此,我们应当认清新《公司法》的不足,并不断完善限制大股东权利的制度,加强立法,从而增强对小股东权益的保护。
The protection of shareholders’ rights and interests is the core issue of corporate governance. The protection of the rights and interests of minority shareholders is beneficial to the equality of shareholders and the improvement of company efficiency. Starting from January 1, 2006, China started to implement the new Company Law, which not only increased the rights of minority shareholders, but also provided ways for minority shareholders to seek relief. However, in practice, these provisions still appear to be inadequate. The 2009 “Evaluation Report on the Protection of Small and Medium Shareholders” shows that there are serious obstacles to the exercise of the rights such as the right to information, the right to management and the right to proceeds, the excessive use of capital and the unequal distribution of dividends. To this end, we should recognize the shortcomings of the new “Company Law” and continuously improve the system of limiting the rights of major shareholders and strengthen the legislation so as to enhance the protection of minority shareholders’ rights and interests.
