浮动抵押制度自19世纪在英国出现以来,已在英美法系国家得到普遍适用,并为大陆法系的一些国家所采纳,浮动抵押的融资功能是不容忽视的,它能够促使有限资源的最优利用,符合法理上关于法的效益最大化的目标。我国《物权法》借鉴发达国家之经验创设浮动抵押制度,但物权法动产浮动抵押制度尚存有保护不足等方面的缺陷,本文通过对英美浮动抵押法律制度的研究,并将其与我国现行的法律制度进行比较和分析,提出一些立法上的建议。
