公司法人治理结构是由股东会、董事会和总经理组成的企业组织体系,其基本框架是由各国的公司法或相关的法律所规定的。公司作为法人,在股东投资入股并在政府有关部门注册登记以后,便对自己的资产拥有合法的财产权,投资者只就其投入公司的出资拥有股东权。股东大会是公司的最高权力机构,拥有公司的最终控制权。通过股东大会,公司的股东可以参与公司的决策过程。法律规定了股东所拥有的权利和股东大会的权限。董事会是公司股东大会的一种常设机构,由于公司股东众多,不可能通过股东定期召开股东大会来直接管理经营企业,因此,就有必要由董事会受全体股东的委托,来代表全体股东发展和保护股东的投资,使股东的投资保值和增值。董事会的主要作用是对企业的生产经营
The corporate governance structure of a corporation is an enterprise organization system consisting of a shareholders’ meeting, a board of directors, and a general manager. The basic framework is stipulated by the company law or related laws of various countries. As a legal person, after a shareholder invests in shares and registers with a relevant government department, he has legal property rights over his own assets. Investors only have shareholder rights over their investment in the company. The general meeting of shareholders is the company’s highest authority and has the ultimate control of the company. Through shareholders’ meetings, shareholders of the company can participate in the decision-making process of the company. The law stipulates the rights of shareholders and the authority of the general meeting of shareholders. The board of directors is a permanent institution of the company’s general meeting of shareholders. Because of the large number of shareholders of the company, it is impossible for the shareholders to directly manage the company through shareholders’ meetings. Therefore, it is necessary for the board of directors to be entrusted by all shareholders to represent and develop the protection of all shareholders. The shareholder’s investment enables the shareholders to maintain their investment and increase their value. The main role of the board of directors is to the production and management of the company.
