现代高新技术进步、恐怖主义猖獗、世界能源短缺以及新兴工业国家经济实力迅速提升,多种力量相互交织强化了美国社会对外资收购的担忧甚至恐惧。美国政府试图在坚持投资开放和加强国家安全审查的夹缝中开拓出平稳开阔的操作平台。然而,其中政治考虑、经济因素、立法技术及其操作性的要求,错综复杂且交互影响。近来,中海油收购尤尼科公司案、阿联酋迪拜港口案在美国引发激烈争论即是生动例证。美国究竟如何进行外资并购审查制度、政府和国会如何考虑改进措施,都值得关注。本文旨在从历史渊源、现行做法及制度改革所面临的挑战的角度,对美国外资审查制度进行全面梳理,同时提出完善我国外资并购国家安全审查的若干建议。
The modern high-tech progress, the rampant terrorism, the world’s energy shortage and the rapid rise in the economic strength of emerging industrial countries, and the multiplicity of forces intertwined reinforce the fears and even fears of American society over foreign acquisitions. The U.S. government has tried to open up a smooth and open platform of operation between insisting on investment opening up and strengthening national security review. However, the political considerations, economic factors, legislative techniques and operational requirements are complex and interactive. Recently, the case of CNOOC acquisition Unocal, Dubai UAE port case in the United States triggered a heated debate that is a vivid example. It is noteworthy how the United States conducts a review of mergers and acquisitions by foreign investors and how the government and Congress consider improving measures. The purpose of this paper is to comprehensively review the system of censorship of foreign investment in the United States from the perspective of history, current practices and institutional reforms. At the same time, we put forward some suggestions on how to improve the national security review of foreign investment mergers and acquisitions.
