2005年7月8日,享受科龙高额津贴的三名独立董事集体提出辞职,因为他们一致认为“自己的工作受到限制,不能满意地履行职责”。这三名独立董事都有着海外教育或工作经历以及丰富的实践经验。他们尚不能做到让独立董事制度适应中国水土,于是,曾作为根治上市公司问题的灵丹妙药而被引进的独立董事制度再一次引起反思:我们真的需要它吗?
On July 8, 2005, the three independent directors who enjoyed Kelon’s high allowances resigned because they agreed that “their work is restricted and they cannot perform their duties satisfactorily”. The three independent directors all have overseas education or work experience and rich practical experience. They have not yet been able to adapt the independent director system to China’s land and water. As a result, the independent director system that was once introduced as a panacea for overcoming the problems of listed companies has once again led to reflection: Do we really need it?
