世界各国公司实践普遍经历了股东大会中心主义向董事会中心主义的过渡，我国亦然。在这种背景下，小股东权益的保护问题尤为重要。笔者认为，对小股东保护的重要途径之一是对其进行表决权救济，以增加其对公司董监人事安排的控制力。我国应当确立累积投票制度，董监采用累积投票合并选举产生，以实现对小股东权益最大限度的保护 The practice of corporations in various countries in the world has generally undergone the transition from the general meeting of shareholders to the board-centrism, and our country does.
