该文尝试从剖析换股支付式吸收俣并的特点入手,通过对清化同方合工鲁颖电子、新潮实业合并新牟股份以及原水股份拟俣并凌桥股份这三个案例的分析,说明国内实行这种并购方式的现实条件及其存在的问题.然后,以国际著名的戴姆勒·奔驰与克莱斯勒换股合并原案例为切入点,论证在国资本市场上进一步运用换股支付式吸收俣并方式进行资产重组所应考虑的制度和技术问题,特别对折股比例,换股价格等问题做了深入的阐述,并尝试勾划中国公司并凤的未来之路.
